TAXPAYER REPRESENTATION

I represent taxpayers before the IRS, most often with respect to collections matters and administrative appeals. I also litigate against the IRS in the United States Tax Court. Similar services are provided to clients with state tax problems. But my favorite work is minimizing taxes via creative planning. (I do not prepare income tax returns.)

ESTATE PLANNING

A typical estate plan involves tax planning and documentation. The documentation would normally include a pourover will, revocable living trust, irrevocable family (e.g., insurance) trusts as well as  durable general powers, healthcare surrogate designation, living will and declaration of preneed guardian. I almost always recommend asset protection trusts for the beneficiaries because you never know if they will be needed. Usually the beneficiary is trustee and there is a mix of special powers to make it easy for the beneficiary to terminate the trust if it is more hassle than it is worth.

In addition, I provide post-death services such as probate, trust administration and preparing estate tax returns.

COMMERCIAL TRANSACTIONS

I form many corporations, LLC’s and LLP’s. I also advise and draft documents in connection with reorganizations, merger and acquisition transactions, stockholder, partnership and employment agreements, like-kind exchanges and startup ventures.
